FOCUSPIPS AFFILIATE PROGRAM – TERMS AND CONDITIONS

1. Our Affiliate Network

To participate as an affiliate, you must complete an affiliate application provided by FocusPips. Applications are reviewed at our discretion. We may accept or reject any application for any reason.

If required by law, you agree to provide accurate tax or identification information before any commission payments are issued.

2. How It Works

• FocusPips will provide you with a unique tracking link.
• When a user clicks your link and creates an account on focuspips.com within 30 days, without clearing cookies and using the same browser/device, the user will be tagged with your affiliate ID.
• If the referred user purchases any FocusPips service during this 30-day window, you will receive commission for qualifying purchases.
• Automated tracking requires cookies and JavaScript enabled. If tracking fails, you must contact FocusPips support at [email protected] to request manual review. Manual attribution is not guaranteed.

3. Your Obligations

• You agree to provide accurate and up-to-date information.
• You must maintain a working email address monitored daily.
• FocusPips is not responsible for missed communications caused by outdated contact information.

4. Commissions and Payout Terms

Qualified Referrals

A successful referral is defined as a non-fraudulent, paying customer who remains active for at least 30 days, with no refund or chargeback.

Commission Holds and Verification

FocusPips reserves the right to:

• Hold commissions up to 60 days for verification
• Cancel commissions if fraud, refund, non-payment, or improper acquisition is detected
• Reject referrals with excessive cancellation or suspicious activity

Payment Schedule

Pay periods are monthly. Commissions mature after 30 days from award date or release of hold.

Payout Methods

Available payout methods may include PayPal, bank transfer, or other methods determined by FocusPips. FocusPips may modify payout methods or schedules at any time.

Minimum Payout Threshold

Affiliate commissions are paid only once the Affiliate's available balance reaches at least €50 (fifty euros). If the minimum threshold is not reached, no payment will be issued and commissions will roll over to the next pay period until the threshold is met.

Transaction fees charged by payment providers are the Affiliate's responsibility.

Abusive Promotional Methods

In the event the Affiliate engages in abusive, deceptive, misleading, or spam-based distribution of affiliate links — including but not limited to mass unsolicited messaging, automated posting, fake accounts, misleading redirections, or any method that may harm the FocusPips brand or user trust — FocusPips reserves the right to:

• Immediately suspend the Affiliate account
• Withhold, cancel, or forfeit all pending or future commissions
• Terminate this Agreement without notice

No payment shall be due for commissions generated through abusive or non-compliant promotional methods.

5. Commission Determination – Qualified Purchases

A "Qualified Purchase" does NOT include:

• Purchases completed before affiliate registration
• Purchases not tracked via affiliate link
• Customers in violation of FocusPips Terms of Service
• Fraudulent or duplicate accounts
• Referrals involving coupons, unauthorized discounts, or rebates offered by the Affiliate
• Referrals from business-opportunity or incentivized traffic schemes
• Referrals with abnormal refund or cancellation rates

FocusPips has sole discretion in determining qualification.

6. Term of Agreement

This Agreement begins upon acceptance into the Affiliate Program. Either party may terminate this Agreement at any time with 30 days notice. After termination, no future commissions will be earned on new referrals.

FocusPips may modify this Agreement with 14 days notice.

7. Termination for Material Breach

FocusPips may terminate this Agreement immediately if a material breach is not cured within 3 days of written notice.

8. Licenses

FocusPips retains all ownership rights to:

• Brand name
• Logos
• Platform
• Software
• Creative assets

No ownership rights are transferred to the Affiliate.

9. Representations and Warranties

Each party warrants it has the authority to enter and perform under this Agreement.

10. Compliance

You agree:

• Not to violate any laws or third-party rights
• Not to run Google Ads or PPC campaigns using FocusPips branding without written approval
• Not to publish false or misleading claims
• Not to compete directly with FocusPips internal marketing channels

The Affiliate agrees to use only ethical, transparent, and lawful promotional methods. The Affiliate shall not:

• Distribute affiliate links through spam, unsolicited bulk messaging, or deceptive practices
• Create fake accounts or misleading pages to generate referrals
• Misrepresent FocusPips, its services, pricing, or performance
• Use redirection or cloaking methods intended to mislead users

Violation of this section results in immediate forfeiture of unpaid commissions and possible account termination.

11. Disclaimers

The Affiliate Program and Platform are provided "as-is" and "as-available". FocusPips makes no warranties, express or implied, including but not limited to:

• Fitness for purpose
• Merchantability
• Accuracy
• Uninterrupted or error-free service
• Virus-free systems

FocusPips is not responsible for third-party service failures or browser compatibility issues.

12. No Waiver

Failure to enforce any provision does not waive future enforcement.

13. Assignment

FocusPips may assign this Agreement. You may not assign it without written consent.

14. Severability

If any provision is unenforceable, remaining provisions remain valid.

15. No Agency

This Agreement does not create partnership, employment, agency, or joint venture.

16. Limitation of Liability

FocusPips is not liable for indirect, incidental, or consequential damages, loss of profit, revenue, or data. Total liability shall not exceed the total commissions paid to the Affiliate in the one (1) month preceding any claim.

17. Indemnification

You agree to indemnify and hold harmless FocusPips, HFX LLC, and its officers, employees, affiliates, and agents from any claims arising from your participation in the Affiliate Program.

18. Governing Law

This Agreement is governed by the laws of the State of Wyoming, United States of America. All disputes shall be subject to the exclusive jurisdiction of the courts of Wyoming.

19. Notices

20. Force Majeure

Neither party is liable for failure or delay due to events beyond reasonable control, including but not limited to natural disasters, war, labor disputes, network failures, or government actions.
